TERMS OF USE

1. Scope and Acceptance of Terms

These Terms apply to visitors to mindwebvn.com, account registrants, users who submit Consultation requests, and customers using MindWebVN’s online features. By accessing, creating an account, or using the website, users agree to comply with these Terms, the related policies published on the website, and applicable laws.

2. Role of MindWebVN

MindWebVN provides consultation, design, programming, customization, and website implementation services as requested. Interface templates, preview images, demo links, framework information, and technical information in the catalogue are displayed for reference, helping customers determine a suitable style and implementation approach.

MindWebVN does not automatically sell source files of third-party templates for users to download. The provision of services, purchase or use of licensed resources, and delivery scope are determined separately for each project.

3. Consultation Requests Are Not Orders

Clicking buttons such as “Send a request”, “Get a consultation”, or “Choose a reference template”, saving a template, or submitting a form on the website does not automatically create an order, establish a contract, or incur any payment obligation. The scope of work, price, schedule, advance payment/Deposit, and delivery conditions become effective only when confirmed by the parties through a Quote, agreement, contract, or another appropriate form of confirmation.

4. User Accounts

·  Users must provide accurate information and update it when necessary.

·  Users are responsible for keeping their login information confidential and must not share their accounts in a way that creates risks for the system or third parties.

·  MindWebVN may request verification, temporarily restrict, or temporarily suspend an account when there are signs of unauthorized access, abuse, fraud, legal violations, or risks to system security.

·  Where remediation is possible, MindWebVN will prioritize notifying users of the reason and providing guidance before applying long-term restrictions, except when immediate action is necessary to ensure safety or as required by a competent authority.

5. Rights and Obligations of MindWebVN

·  Provide clear information about services, procedures, and policies consistent with actual operations.

·  Receive and respond to Consultation requests, feedback, and complaints through the published channels.

·  Apply reasonable measures to protect the website, accounts, and data within the systems managed by MindWebVN.

·  Refuse content, requests, or projects showing signs of legal violations, intellectual property infringement, safety risks, or falling outside the scope of services.

·  Change, maintain, or upgrade website features; where changes significantly affect Members’ rights, MindWebVN will provide notice in an appropriate manner.

·  Fulfill service provision, delivery, support, document/invoice issuance, and other obligations in accordance with the separate agreement for each project and applicable laws.

6. Rights and Obligations of Users/Customers

·  Access published information about services, policies, and support channels.

·  Request clarification of the service scope, costs, schedule, and conditions for using resources before confirming a project.

·  Submit feedback, complaints, and requests related to personal data in accordance with the published procedures.

·  Provide necessary information and materials accurately; respond, confirm, and make payments according to the project agreement.

·  Ensure that they have lawful rights to use logos, images, content, data, fonts, videos, documents, or intellectual property provided to MindWebVN.

·  Not use the website or services to conduct unlawful activities, infringe the rights of others, or affect system security.

7. Prohibited Conduct

·  Attack, scan, bypass security mechanisms, exploit vulnerabilities, or gain unauthorized access to the website, accounts, or data.

·  Send spam, distribute malware, impersonate others, automate access in a way that causes overload, or use the website for fraudulent purposes.

·  Illegally copy, exploit, or distribute content, resources, or intellectual property belonging to MindWebVN or third parties.

·  Upload or provide content that violates the law, intellectual property rights, privacy rights, or the lawful rights of other organizations or individuals.

8. Third-Party Content and Resources

The website may link to demos, platforms, services, or resources operated by third parties. Third parties have their own terms of use, privacy policies, and license conditions. MindWebVN does not control all content or the availability of third-party systems and will discuss with customers when the use of third-party resources affects the scope or cost of a project.

9. Project Agreements Take Precedence

For a specific project, the Quote, appendix, contract, or agreement confirmed by both parties will govern matters such as the scope of work, costs, schedule, number of revision rounds, acceptance, warranty, support, and delivery. If there is any discrepancy between the general terms on the website and a lawful separate project agreement, the separate agreement will take precedence for that project.

10. Reasonable Limitation of Liability

MindWebVN strives to maintain the website and information in an appropriate condition, but does not guarantee that the system will always operate continuously, be error-free, or that every reference template will suit every need. Liability arising from a specific project will be determined based on fault, actual damages, the agreement between the parties, and applicable laws; these Terms do not exclude any customer rights that may not legally be excluded.

11. Changes to the Terms

MindWebVN may update the Terms to reflect changes to its services, processes, or applicable law. The version and update date are displayed on the page. For material changes affecting Members’ rights or obligations, MindWebVN may provide notice and/or require users to reconfirm where appropriate.

12. Governing Law and Dispute Resolution

These Terms are construed and governed by the laws of Vietnam. The parties will prioritize communication, negotiation, and mediation. If the matter cannot be resolved, either party has the right to use the dispute resolution mechanisms available through the competent authorities in accordance with applicable law.
